## 1. Agreement to Terms

By accessing or using any services provided by Project BOBO (“we,” “us,” “our”), including our SMS messaging service, website, and related tools operated at duffion.com, you (“you,” “your,” “user”) agree to be bound by these Terms & Conditions. If you do not agree to these terms, do not use our services.

## 2. Description of Services

Project BOBO provides a local-first business operations platform that includes:

– **SMS Messaging Service** — An SMS-based interface for submitting ideas, exchanging messages, and interacting with our automated operations system via Twilio-powered messaging.

– **Idea Capture** — Collection and attribution of ideas submitted through SMS and other channels.

– **Operator Dashboard** — Administrative tools for authorized operators to manage contacts, missions, and system configuration.

## 3. Eligibility

You must be at least 13 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have the consent of a parent or legal guardian to use the services.

## 4. SMS Messaging Terms

### 4.1 Enrollment

Access to our SMS service is by invitation only. An authorized operator must add your phone number to the system before you can interact with the service. By responding to an invitation message or sending an SMS to our service number, you consent to participate in our SMS program.

### 4.2 Message Frequency

Message frequency varies based on your interactions. We do not send unsolicited bulk marketing messages. You will only receive messages in response to your interactions or as part of system notifications relevant to your role.

### 4.3 Message and Data Rates

Standard message and data rates may apply depending on your wireless carrier and plan. We are not responsible for any charges incurred from your carrier related to SMS messaging.

### 4.4 Supported Carriers

Our SMS service is compatible with all major U.S. wireless carriers that support standard SMS messaging. We do not guarantee delivery on all carriers or in all regions.

### 4.5 Opt-Out

You may stop receiving SMS messages at any time by replying **STOP** to any message from our service. After opting out, you will receive a single confirmation message and no further messages will be sent. You may also contact an operator directly to request removal.

### 4.6 Help

For assistance, reply **HELP** to any message from our service, or contact us using the information in Section 14.

## 5. Acceptable Use

You agree not to use our services to:

– Send or submit content that is unlawful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

– Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

– Attempt to gain unauthorized access to any part of the service, other accounts, or systems connected to our service.

– Interfere with or disrupt the service, servers, or networks connected to the service.

– Use automated means (bots, scripts, scrapers) to interact with the SMS service without express authorization.

– Transmit viruses, malware, or any other harmful code.

– Violate any applicable local, state, national, or international law or regulation.

We reserve the right to revoke your access to any or all services, without prior notice, if we determine that you have violated these terms.

## 6. Intellectual Property

### 6.1 Our Property

All content, features, and functionality of the Project BOBO platform — including but not limited to software, text, graphics, logos, and design — are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of our platform without our express written permission.

### 6.2 Your Submissions

By submitting ideas, messages, or other content through our services, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable license to use, store, display, and incorporate your submissions into our operations. You retain ownership of your original content, but acknowledge that submitted ideas may be used in the course of our business operations.

If your submission is attributed to you (e.g., via our idea capture system), we will maintain that attribution as long as the record exists in our system unless you request its removal.

## 7. Privacy

Your use of our services is also governed by our [Privacy Policy](PRIVACY_POLICY.md), which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described in the Privacy Policy.

## 8. Disclaimers

### 8.1 “As Is” Basis

Our services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

### 8.2 No Guarantee of Availability

We do not warrant that our services will be uninterrupted, timely, secure, or error-free. SMS delivery depends on third-party carrier networks and Twilio infrastructure, which are outside our direct control.

### 8.3 No Professional Advice

Nothing provided through our services constitutes professional, legal, financial, or business advice. Any actions you take based on information received through our services are at your own risk.

## 9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Project BOBO, its operators, affiliates, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the services, regardless of the theory of liability.

Our total liability for any claim arising from or related to these terms or the services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty dollars ($50.00), whichever is greater.

## 10. Indemnification

You agree to indemnify, defend, and hold harmless Project BOBO, its operators, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

– Your use of the services.

– Your violation of these Terms & Conditions.

– Your violation of any rights of any third party.

– Any content you submit through the services.

## 11. Third-Party Services

Our services use Twilio for SMS message delivery. Your interactions through our SMS service are subject to [Twilio’s Terms of Service](https://www.twilio.com/legal/tos) and [Twilio’s Privacy Policy](https://www.twilio.com/legal/privacy) in addition to our own terms.

We are not responsible for the practices or policies of any third-party service providers. We encourage you to review the terms and policies of any third-party services that interact with our platform.

## 12. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. When we make material changes, we will update the “Last Updated” date at the top of this document. Your continued use of the services after any modifications constitutes your acceptance of the revised terms.

We may, at our discretion, notify active SMS contacts of material changes via SMS or other available communication channels.

## 13. Termination

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination:

– Your right to use the services ceases immediately.

– Provisions that by their nature should survive termination will remain in effect, including Sections 6, 8, 9, 10, and 15.

You may terminate your use of the services at any time by opting out of SMS (reply **STOP**) and ceasing use of our platform.

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

## 17. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and Project BOBO regarding the use of our services and supersede any prior agreements or understandings.
